Terms and Conditions

- You pay in advance for a period of hosting. Cancelling stops the next payment; your sites keep running until the date you have paid up to, and nothing further is charged.
- 30-day money-back guarantee on your first payment only. It does not cover renewals, add-ons, one-off fees or domain names, except where the law requires otherwise.
- Paying late does not move your billing date. A late payment buys the period that started on your original expiry date, not a new period from the day you pay. Unpaid sites are paused.
- Upgrades apply immediately after you approve and pay the prorated difference. Downgrades apply at your next billing date, with no refund or credit.
- Each site has usage allowances (20,000 files/inodes, 4 GB disk, 400 MB database). Prepaid monthly add-ons raise them. A site over an allowance is paused until usage is reduced or an add-on is bought.
- Refunds and chargebacks take back the hosting time they paid for.
- Abuse is not tolerated. Illegal content, malware, phishing, spam and attacks lead to site suspension or an account ban, without refund.
- Accounts left unpaid are deleted, with warning emails first (see section 19).
1. About these Terms
These Terms and Conditions (the "Terms") govern your use of the PBN.LTD hosting platform at app.pbn.ltd and every service we provide through it.
1.1 Who we are
The services are provided by PBN HOSTING SL, a company registered in Spain with CIF B67714840, whose address is Calle Colon 26, 03001 Alicante, Spain ("we", "us", "our"). You can contact us at [email protected].
1.2 Definitions
- "You" means the person or company that opens the account and buys the services, and anyone acting on your instructions.
- "Account" means your customer account on the platform, including your dashboard.
- "Plan" means the hosting package you have chosen, with its number of sites, price and billing period.
- "Site" means a website hosted on the platform under your account, including its files, database and configuration.
- "Paid-until date" means the date up to which your plan has been paid for, as shown in your dashboard.
- "Add-on" means an optional extra you buy on top of your plan, such as extra sites or extra usage allowances.
- "One-off fee" means a single charge for a specific task, such as a Wayback Machine restore.
- "Paused" means a site that is kept on the platform but not served to visitors until the reason for the pause is resolved.
- "Consumer" means an individual acting for purposes outside their trade, business or profession.
1.3 Accepting these Terms
You accept these Terms when you open an account and when you complete a checkout. If you do not agree to them, do not use the services. If you use the services on behalf of a company, you confirm that you are authorised to accept these Terms on its behalf.
Our Privacy Policy, published on our website, explains how we handle personal data and forms part of these Terms.
2. Your account
- Accurate details. You must give true, complete and current details when you sign up and keep them up to date, including your name, email address, country and, where requested, your phone number.
- One person, one account holder. An account belongs to one person or one company. You may not sell, transfer or share an account with a third party without our written agreement. You may give colleagues or contractors access to work on your sites, but you remain responsible for everything done through your account.
- Business customers. If you buy as a company, enter your company name, address and VAT number in your account. We check EU VAT numbers against the European Commission's VIES system. A number that cannot be validated will not be treated as valid for VAT purposes until it can be.
- Security. Keep your password and any access details secret. Tell us immediately at [email protected] if you suspect someone else has used your account. We are not responsible for losses caused by access with your credentials that we could not reasonably have prevented.
- Age and capacity. You must be at least 18 years old and able to enter into a binding contract.
- Refusing an account. We may refuse to open an account, for example where details match an account that was banned for abuse (see section 18).
3. Plans, prices, payment and VAT
3.1 Prepaid periods
All plans are paid in advance for a period of time (for example monthly, quarterly or yearly). The price, the number of sites included, the billing period and the dates you are paying for are shown before you pay. Prices apply for the period you have paid for. If we change a price, the change applies from your next renewal, and we will tell you in advance.
3.2 Currencies and payment methods
Prices are shown in the currencies offered at checkout (for example US dollars, euros or pounds sterling). You can pay by the methods offered at checkout, which currently include card, PayPal and cryptocurrency. Some purchases, such as certain add-ons and one-off fees, are only available with some payment methods; checkout shows which.
3.3 Who sells to you
- Card payments for hosting plans through FastSpring. These orders are sold by our reseller, FastSpring, which is the merchant of record. FastSpring handles the payment, charges and accounts for any tax, issues the receipt, and handles payment-related questions and refunds for those orders, under its own terms of sale.
- Everything else. Plans paid by PayPal or cryptocurrency (processed by NOWPayments), all add-ons, all one-off fees and any other direct sale are sold by PBN HOSTING SL directly.
Whoever sells the order, the hosting service itself is provided by us under these Terms.
3.4 VAT
For orders we sell directly, VAT is charged under Spanish and EU VAT rules:
- Customers in Spain are charged Spanish VAT.
- Consumers and non-registered customers in other EU countries are charged VAT: Spanish VAT, or the VAT rate of their own country where the EU One-Stop-Shop rules require it. The rate is shown before you pay.
- Business customers in another EU country with a VAT number that is valid in VIES are not charged VAT. The reverse charge applies and you account for the VAT yourself.
- Customers outside the EU are generally not charged EU VAT, as the service is outside the scope of EU VAT.
We work out VAT from the country and VAT number in your account, so keep them accurate. If they are wrong and we have to pay VAT we did not charge, we may charge it to you. For FastSpring orders, FastSpring calculates and charges the tax. If you give your VAT number at FastSpring checkout, FastSpring applies its own rules to it.
3.5 Crypto payments
Cryptocurrency payments have minimum amounts that depend on the coin and are shown before you pay. A payment is only credited when the provider confirms it in full. If the amount received does not match the amount due, the payment is held for review and the service is not extended until the difference is settled or the payment is returned.
3.6 Payments by a different method
If you pay by a different method from usual, the payment is credited to your account and your stored payment method follows it. If another provider is still billing you for the same period, we may hold the second payment and contact you, so that you do not pay twice for the same time.
4. Invoices and receipts
- For orders we sell directly, we issue an invoice in the name of PBN HOSTING SL. It shows what you bought, the period, the amount, any VAT and, where it applies, the reverse-charge wording.
- For FastSpring orders, the receipt or invoice comes from FastSpring as the seller.
- Invoices and your full payment history are available in your dashboard. We also send an invoice or receipt by email for every purchase.
- An invoice uses the company details and VAT number in your account at the time of purchase. Add them before you buy. Tell us promptly at [email protected] if an invoice contains an error. We may issue a corrected invoice where the law allows it.
5. Free trials
- Where a free trial is offered, its length and conditions are shown when you sign up. A trial lets you try the platform before you pay. It is not a paid period.
- One free trial per person or company. A trial is not available to anyone who has already had a trial or has already been a paying customer, however many accounts, email addresses, phone numbers or devices are used.
- We check new trials automatically against earlier accounts. We may refuse a trial, or end one early, where there are signs that it is a repeat trial or is being abused. When a trial is refused, you can still open an account and buy a plan.
- When a trial ends without payment, your sites are paused. They are handled like any other unpaid account (sections 7 and 19).
6. Renewal and cancellation
6.1 Renewal
Subscriptions paid by card through FastSpring or by PayPal subscription renew automatically at the end of each billing period, at the price then in force, until you cancel. One-off payments, including cryptocurrency and one-off PayPal payments, do not renew automatically. To continue, you pay again before the paid-until date. We send reminders before a one-off period ends.
6.2 Cancelling
- You can cancel at any time in your dashboard, or with the payment provider (for example in PayPal or the FastSpring customer portal). An email asking us to cancel does not cancel a subscription held at a payment provider. Please use the dashboard or the provider.
- Cancelling stops future payments. It does not end the service early. Your account shows as cancelled, your sites keep running until your paid-until date, and nothing further is charged.
- We take your paid-until date from the payment provider's own record. A cancellation never moves it earlier than the date we already hold.
- Cancelling does not by itself give you a refund of the time remaining. Refunds are covered in sections 9 and 10.
- After the paid-until date, your sites are paused and your account is treated as unpaid (section 19). Keep your own copies of anything you want to keep.
7. Late payment and paused sites
- If your paid-until date passes without payment, for example because a renewal failed or a one-off period ended, your sites are paused. We send reminder emails before and after the date.
- A late payment continues from your original expiry date, not from the day you pay. If you pay three weeks late, the period you buy started three weeks ago. Late payment does not earn free days. The dates you are buying are shown before you pay.
- When a payment is confirmed, sites paused only for non-payment are released straight away. Sites paused for another reason stay paused until that reason is resolved. Other reasons include being over your plan's site limit, being over a usage allowance, or a suspension for abuse or security.
- If you owe money for a period in which your services were provided, we may ask you to pay it before we reactivate or renew the account.
8. Changing plan
- Upgrading (to a plan with more sites or a higher price): before you confirm, we show you the exact extra amount, which is the prorated difference for the rest of your current period. The larger plan starts as soon as that amount is paid. Your billing date does not change.
- Downgrading: the smaller plan takes effect at your next billing date. Until then you keep the plan you have paid for. There is no refund or credit for the difference. Before a downgrade takes effect, reduce your sites to the new plan's limit. Otherwise the sites over the limit are paused (section 11).
- With one-off payment methods, a change of plan may instead convert the unused value of your current period into time on the new plan. Before you confirm, we show you how your paid-until date will move.
9. 30-day money-back guarantee
- Your first payment for a hosting plan is covered by a 30-day money-back guarantee. If you are not satisfied, ask for a refund within 30 days of that first payment by writing to [email protected] from your account email address. We will refund that payment in full.
- The guarantee applies once per person or company. It does not apply if you, or an account linked to you, were a paying customer before.
- The guarantee does not cover:
- renewals, or any payment after the first;
- add-ons (extra sites, usage allowances, CDN usage upgrades);
- one-off fees, including Wayback Machine restores that have been run;
- domain registrations and renewals;
- accounts suspended or banned for breaching these Terms (section 18).
- Refunds go back to the original payment method. FastSpring orders are refunded through FastSpring. Crypto refunds are paid in a coin and to an address we agree with you, less any network fees. Refunds can take some days to reach you, depending on the provider.
- When a guarantee refund is made, the plan it paid for ends and your sites are paused (section 10).
9.1 Consumers in the EU
If you are a consumer in the EU, you normally have a 14-day right to withdraw from a distance contract. Our hosting starts at your request as soon as you pay. By asking us to start immediately, you accept that if you withdraw, you may have to pay for the service provided up to that point, and that your right of withdrawal ends once a service has been fully provided. For your first payment, the 30-day money-back guarantee gives you more than the statutory right. Nothing in these Terms limits your mandatory rights as a consumer.
10. Refunds and chargebacks
- A refund or chargeback takes back the hosting time it paid for. A full refund removes the whole period that payment bought. A partial refund removes a proportional part, rounded down to whole days. Your paid-until date moves back accordingly, but never earlier than today. If no paid time is left, your sites are paused.
- A refund of an add-on removes that add-on's allowance or extra sites. A refund of a one-off fee is only given where section 9 or the law allows it.
- Talk to us before opening a dispute or chargeback. Most payment problems can be solved quickly at [email protected]. A chargeback, reversal or lost dispute ends the subscription it relates to. We may treat an unjustified chargeback as a breach of these Terms. It may also stop you using the money-back guarantee or opening new accounts.
- We do not give cash refunds for unused time except as set out in these Terms or where the law requires it.
11. Site limits and extra sites
- Each plan includes a maximum number of sites. Any extra sites you have bought are added to that limit.
- If your account holds more sites than your limit allows, the sites over the limit are paused until you upgrade, buy extra sites or remove sites. Paying your normal renewal does not release them, because the limit has not changed.
- Extra-site add-ons, where offered for your plan, add single sites to your limit for a monthly price shown before you buy. They are prepaid and aligned to your plan's renewal date. They run to the end of the period paid for, and you renew them the way the dashboard shows. Cancelling them stops future renewals. There is no refund for time already paid. If you upgrade to a plan with more sites, you can move extra sites into the plan. Unused time on them is not refunded.
12. Usage allowances and add-ons
12.1 Included allowances
To keep the platform fast and fair for everyone, each site includes the following allowances, unless your plan states otherwise:
- Files (inodes): 20,000;
- Disk space: 4 GB;
- Database size: 400 MB.
Sites on a content delivery network (CDN) that is billed by usage also have a monthly CDN usage allowance, shown in the site's dashboard.
12.2 Warnings and what happens over an allowance
- We email you when a site reaches about 80%, 90% and 100% of a disk, database or file allowance. Each email includes a link to buy more.
- A site that goes over its disk, database or file allowance is paused until usage is brought back under the allowance or an add-on is bought. It is then released automatically, normally within minutes.
- A site that uses up its monthly CDN usage allowance stops being served through the CDN until the next month begins or a CDN usage upgrade is bought.
- We may, at our discretion, allow a site to exceed an allowance for a while or set a different allowance for it. Doing so once does not oblige us to do it again.
12.3 Usage add-ons
- Files: +5,000 inodes per add-on.
- Disk: +5 GB per add-on.
- Database: +500 MB per add-on.
- CDN usage upgrades: extra monthly CDN usage for one site, in the tiers shown in the dashboard.
The price of each add-on is shown before you buy it. The following rules apply to all usage add-ons:
- Per site. An add-on applies to the one site you buy it for. It cannot be moved to another site except where the dashboard offers this, for example CDN credit within the same month.
- Prepaid and monthly. Add-ons are paid in advance and run for the calendar month, reckoned in UTC. Allowances reset on the 1st of each month. To keep the extra allowance for a new month, the add-on must be renewed for that month as shown in your dashboard.
- Stackable. You can buy several add-ons of the same kind for the same site in one month, and their allowances add up.
- End with the site. An add-on ends when its site is deleted or when your plan ends.
- No refunds for unused time or unused allowance. Where the dashboard offers it, unused CDN usage may be turned into account credit for use in the same month. It has no cash value and lapses at the end of the month.
- A paused or unpaid account cannot buy add-ons. An add-on does not extend your plan.
13. Wayback Machine restores
- Where offered, we can rebuild a site from copies held by the Internet Archive's Wayback Machine. The site is rebuilt either as static HTML or converted to WordPress.
- A restore is a one-off fee per site. The price and the options are shown before you buy.
- We can only restore what the Archive holds. Pages, images, styles or scripts it did not capture cannot be recovered. A converted WordPress site is a reconstruction, not the original installation, and may need editing. We do not guarantee that a restore is complete or looks exactly like the original.
- You must have the right to use the content you ask us to restore (section 16.1 applies).
- The fee is non-refundable once the restore has run. If we cannot start a restore you have paid for, we refund the fee.
- Restore packs. You can buy restores in advance as a pack. A pack is a one-off payment and its restores never expire; several packs add up. One restore from a pack pays for one restore of either kind. If a restore paid with a pack fails before anything is put on your site, the restore is given back to your pack. If a pack is refunded or charged back, the restores from it that you have not used are removed.
- Trademarks and copyright. We reserve the right to suspend any domain due to trademark or copyright infringement arising from a Wayback restore. After a restore, the customer must remove any trademarks, logos, brand names or copyrighted material they do not have the right to use. You are asked to confirm this before each restore starts.
14. Domain registration
- Where offered, domain names are registered through our registrar partner. Each registration is also governed by the rules of the registry for that extension and by the ICANN or national policies that apply. These include rules on accurate owner contact details and on dispute resolution. You agree to those rules when you register.
- You must give accurate owner details. A registry or registrar may suspend a domain whose details are false or unverified.
- Availability and the price are only confirmed when the order is completed. A domain can be taken by someone else before then. If we cannot complete the registration, we refund the payment.
- Once a domain has been registered, the fee is non-refundable, as are renewals and transfers once processed, except where the law requires otherwise.
- Keeping the domain renewed is your responsibility. Where auto-renew is switched on, we try to renew the domain before expiry with the payment method available. If that renewal fails, or auto-renew is off, the domain may expire and be lost. Registry fees for late renewal or redemption are payable by you.
- A domain registered through us is yours. Your hosting plan and your domain are separate: cancelling hosting does not cancel the domain, and the domain does not keep the hosting active.
15. Your own CDN, DNS and registrar accounts
You can connect accounts you hold with third parties, for example your own Cloudflare or other CDN and DNS accounts, or your own domain registrar account. Connected accounts are used for your sites, and for setting nameservers automatically.
- They are your accounts. Your contract for them is with that provider. The provider's terms, limits and charges apply, and any costs they bill are yours.
- We act on your instructions. We use the credentials you give us only to carry out what you ask of the platform, such as creating zones, publishing DNS records, configuring the CDN for your sites or setting your domains' nameservers. We store the credentials securely and never use them for anything else.
- Give only the access needed. Where the provider allows it, create a token limited to what the platform needs. You are responsible for the permissions you grant.
- You can disconnect at any time in your dashboard, and you can revoke the credentials with the provider. Disconnecting may stop affected sites being served through that account until you choose another option.
- We are not responsible for outages, changes, suspensions, charges or data loss at a third-party provider, or for the result of changes you make directly in those accounts.
16. Migrating sites to us
16.1 Your rights to the content
When you ask us to move a site onto the platform from another host, control panel, FTP server or WordPress installation, you confirm that you own the content or have permission to copy and host it. You also confirm that you are authorised to give us the access details you provide.
16.2 How migrations work
- We copy what you point us at, using the access details you provide, only for the migration. We recommend that you change those passwords once the migration is complete.
- Migrations are done on a best-effort basis. Differences between hosting environments mean that some sites need adjustment after the move. We do not guarantee that every file, database, setting or feature will transfer or work identically.
- Keep your own copy of the original site until you have checked the migrated one. We do not change or delete anything at the source, except for any temporary migration tool that has to be installed there.
- Migrated sites count toward your site limit and are subject to these Terms, including sections 12 and 17.
17. Acceptable use
You are responsible for everything on your sites and everything done through your account. You must not use the platform, or allow it to be used, for any of the following:
- Illegal content or activity, including content that infringes copyright, trade marks or other rights, child sexual abuse material, content promoting terrorism or violence, fraud, and the sale of illegal goods or services.
- Malware: hosting or distributing viruses, malicious scripts, exploit kits, cryptocurrency miners or backdoors.
- Phishing: pages that imitate a bank, brand, service or person to collect credentials, payment details or personal data. The platform automatically detects and removes known phishing kits when they are uploaded or restored, and may pause the site.
- Spam and bulk email: sending unsolicited or bulk email from the platform, or promoting a site hosted here with unsolicited email, and using the platform as a mail drop for spam sent elsewhere.
- Attacks and intrusion: scanning, probing or attacking other systems, denial-of-service activity, brute-force attempts, or accessing systems or data without authorisation, including other customers' sites.
- Resource abuse: using CPU, memory, processes, disk activity, bandwidth or connections in a way that degrades the service for others. This includes running software unrelated to hosting a website, such as mining or proxying. Each site has technical resource limits and may be slowed or paused if it exceeds them.
- Deceptive practices that harm others: cloaking, sneaky redirects, hacked-content injection or similar techniques used to deceive visitors, to harm third parties, or that lead to our IP addresses, servers or providers being blocklisted or penalised.
- Harassment and abuse of any person, including our staff.
- Circumventing the platform's controls, including limits, pauses, suspensions, trial rules or bans, for example by opening further accounts.
To protect the platform, we may block certain software, such as plugins known to cause security or stability problems. We may also pause a site whose configuration puts the service at risk. We tell you why when we do.
18. Suspension, bans and enforcement
- We may investigate any suspected breach of these Terms, including through automated checks of hosted sites.
- Depending on how serious the breach is, we may remove or disable the offending content, suspend a site (including its file manager and other tools), restrict features, or suspend or close your account. Where it is safe and lawful, we tell you what we found and give you the chance to fix it. We may act first and tell you afterwards where there is a risk to others, to the platform or to our providers.
- For serious or repeated abuse we may ban you. A ban closes your login, and signups matching the banned person's details, payment accounts or devices are refused. A banned account's domains cannot be added to the platform again.
- No refund is given for any period lost to a suspension, closure or ban for breach of these Terms. The money-back guarantee does not apply to such accounts.
- We may report illegal activity to the authorities and cooperate with lawful requests from them. We may also act on well-founded notices from rights holders or other third parties.
- You are liable for the reasonable costs we incur because of your breach, including handling complaints, cleaning up and removing us from blocklists.
- If you think we acted in error, write to [email protected]. We will review it.
19. Removal of unpaid accounts
- When your plan ends and is not renewed, your sites are paused but kept for a period so that you can pay and carry on.
- If the plan stays unpaid, your sites and their data, including files, databases and backups, are permanently deleted 60 days after the plan expired. Deletion never happens sooner than 14 days after we sent you the first warning email.
- We send several warning emails to your account email address before deletion, stating the date. Paying before that date cancels the deletion.
- Once deleted, data cannot be recovered. Keep your own copies (section 20).
- We may keep limited account and billing records after deletion where the law requires it, for example for tax purposes.
20. Backups
- We take backups of hosted sites as a convenience, not a guarantee. Backups are kept for a limited time, as shown in your dashboard, and older ones are deleted automatically.
- A backup can fail or be incomplete, for example if a site is too large, its database cannot be exported, or a storage provider has problems. Where a site is not a WordPress site, a backup may only contain its files.
- You are responsible for keeping your own up-to-date copies of your sites and data, stored off the platform.
- We are not liable for lost data, except to the extent the loss is caused by our breach of these Terms and subject to section 25.
21. Availability, maintenance and changes to the service
- We work to keep the platform available at all times, but we do not guarantee uninterrupted or error-free service. We offer no service credits for downtime, except where the law requires them.
- We carry out maintenance, security updates and migrations between servers when needed. We try to keep disruption short and, where possible, schedule it for quiet times. Urgent security work may happen without notice.
- Parts of the service depend on third parties, such as data centres, CDN and DNS providers, domain registries, email and payment providers. Their outages or changes can affect the service. We are not responsible for these, but we will work with the provider to restore service.
- We may move a site between servers, CDN providers or configurations to keep the service working or fair, for example if a provider withdraws or suspends a service. We tell you when a move affects how you use the site.
- We develop the platform continuously and may add, change or remove features. If we remove a feature that is a core part of what you paid for, and the change materially disadvantages you, you may cancel. We will then refund the unused part of your current prepaid plan period.
22. Support
- Support is provided in English through the support channels shown in your dashboard, and by email at [email protected].
- Support covers the platform: hosting, the dashboard, and features we provide. It does not cover designing or developing your sites or fixing themes, plugins or code you install, although we may help where we can.
- You are responsible for your own software, content, plugins, email and FTP client settings, and for pointing your domains to the nameservers we show you.
- We send important notices about your account, sites and billing to your account email address. Keep it working and check it.
23. Your content and data protection
23.1 Your content
You keep all rights in the content of your sites. You grant us only the rights we need to host, copy, back up, cache, deliver and transmit it in order to provide the services. We do not use your content for any other purpose.
23.2 Roles under the GDPR
- For the content of your sites, including any personal data your sites collect from visitors, you are the controller and we are your processor. We process that data only to provide the services and on your documented instructions, which are these Terms and your use of the platform. We keep it confidential and protect it with appropriate security measures. We help you meet your obligations where reasonable, tell you without undue delay of a personal data breach affecting it, and delete it when the service ends in line with section 19. Our authorised personnel are bound by confidentiality.
- For your account, billing and support data, we are the controller. We use it to provide and bill the services, to prevent fraud and abuse (including the trial and abuse checks described above), to meet legal obligations and to contact you about your account. Our Privacy Policy explains this in detail.
23.3 Where data is kept and sub-processors
Our servers are located in data centres in the European Union. To provide the services we use other providers (sub-processors), including:
- data-centre and infrastructure providers;
- CDN and DNS providers;
- backup storage providers;
- email delivery providers;
- our domain registrar partner;
- payment providers (FastSpring, PayPal and NOWPayments). For card orders, FastSpring acts as an independent controller.
Some of these providers process data outside the EU. Where they do, we rely on the safeguards allowed by the GDPR, such as adequacy decisions or the European Commission's standard contractual clauses. By accepting these Terms you give us general authorisation to use sub-processors. We will tell you of any intended change that affects your site content, and you may object to it on reasonable grounds. The current list is available from [email protected].
23.4 Your rights
You can ask to access, correct, delete, restrict or port your personal data, or object to its processing, by writing to [email protected]. You also have the right to complain to a data protection authority. In Spain, this is the Agencia Española de Protección de Datos. Requests from your sites' visitors are for you to handle as controller. We will help where needed.
24. Search engine results
We provide hosting and related technical services. We do not guarantee any search engine result, including indexing, rankings, traffic, link value or protection against penalties or de-indexing. The same applies to any figure the platform shows, such as indexation checks or third-party metrics. These figures come from outside sources, are provided for information only, and may be delayed or wrong. You alone decide how you use your sites and remain responsible for complying with search engines' guidelines and the law.
25. Limitation of liability
- Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law. This includes liability for death or personal injury caused by negligence, for fraud, for wilful misconduct or gross negligence, and your rights as a consumer under mandatory law.
- Subject to that, we are not liable for indirect or consequential loss, or for loss of profits, revenue, business, contracts, goodwill, rankings, traffic or anticipated savings, however it arises.
- Subject to that, our total liability to you for all claims arising out of or in connection with the services in any 12-month period is limited to the fees you paid us for the services in the 12 months before the event giving rise to the claim.
- We are not liable for failure or delay caused by events beyond our reasonable control. These include failures of third-party providers or networks, attacks on the platform, power or connectivity failures, natural events and acts of authorities.
- Except as expressly stated in these Terms, and to the extent the law allows, the services are provided "as is" and "as available".
- You must notify us of any claim within one year of becoming aware of it, unless mandatory law gives you longer.
26. Indemnity
If you are a business customer, you will indemnify us against claims, losses, fines, damages and reasonable costs (including reasonable legal fees) that arise from any of the following:
- the content of your sites;
- your breach of these Terms or of the law;
- your use of third-party accounts you connect to the platform;
- any claim by a third party that your sites or your use of the services infringe their rights.
We will tell you promptly of any such claim and let you take part in its defence. If you are a consumer, you are responsible for these matters as the law provides.
27. Termination
- By you: you may stop using the services at any time by cancelling (section 6) and deleting your sites. You may also ask us to close your account.
- By us for breach: we may suspend or close your account under section 18, or where payment is not made (sections 7 and 19).
- By us without breach: we may end the services for any other reason by giving you at least 30 days' notice by email. We will then refund the unused part of your current prepaid period.
- Insolvency: if you are a company and become insolvent or enter a similar process, we may suspend or end the services.
- After termination: your sites stop being served and your data is deleted. Where you are not in breach, we will give you a reasonable chance to download your data first. Sections that by their nature should survive termination continue to apply, including sections 10, 18, 23 and 25 to 29.
28. Changes to these Terms
- We may update these Terms, for example to reflect new features, changes in the law or changes in how the platform works. Each version has a version identifier and a "last updated" date.
- We will tell you of material changes by email and/or a notice in your dashboard before they take effect. Where the change is to your disadvantage, we give reasonable advance notice, normally at least 14 days, except where a change is required by law or needed urgently for security.
- You will be asked to accept the current Terms at your next checkout. Continuing to use the services after a change takes effect also means you accept it. If you do not agree, you may cancel before the change takes effect. Price changes apply only from your next renewal (section 3.1).
29. Governing law and disputes
- These Terms, and any dispute arising from them or the services, are governed by the laws of Spain.
- The courts of Alicante, Spain, have jurisdiction. If you are a consumer, this does not take away the protection of the mandatory laws of your country of residence, or your right to bring proceedings in the courts of the place where you live.
- Please contact us first at [email protected]. Most issues can be settled quickly without formal proceedings. Consumers in the EU may also use the out-of-court dispute resolution bodies available to them.
30. General
- Entire agreement. These Terms, the order details shown at checkout and the documents they refer to form the whole agreement between us about the services. They replace any earlier terms of service. Separate services not provided through the platform are governed by the terms agreed for them.
- Order of precedence. If these Terms conflict with a description on our website, these Terms prevail. For FastSpring orders, FastSpring's terms of sale govern the sale transaction itself.
- Language. These Terms are written in English. If they are translated, the English version prevails, to the extent the law allows.
- Notices. We send notices to your account email address or show them in your dashboard. You send notices to [email protected]. An email notice counts as received on the day it is sent, unless it bounces.
- Assignment. You may not transfer your rights or obligations without our written consent. We may transfer ours to a company that takes over the services, provided your rights are not reduced.
- Severability. If any part of these Terms is found invalid or unenforceable, the rest continues to apply.
- No waiver. If we do not enforce a right straight away, we have not given it up.
